5 Year Limited Parts Warranty  |  1 Year Structure Warranty

 

DEFINITION OF COVERAGE

Lightking Outdoor warrants to the Buyer that the LED sign will be free from defects in materials and workmanship for a period of (5) five years from the date of shipment from Lightking Outdoor’s Facility. Items covered include LED modules, individual LED lamps, electrical wiring and data cables.  In addition, Lightking warrants the integrity of the sign cabinet, so long as it is properly installed and operated. Any item received by and determined to be defective by Lightking Outdoor and/or its Distributors shall be repaired or replaced with new or refurbished parts at its option during the term of this warranty.

COMMENCEMENT DATE

Unless otherwise agreed to in writing, this Limited Parts Warranty becomes effective upon the earlier or either the purchase date of the LED sign unit defined as the date on the Invoice received by Buyer from the Lightking Outdoor Distributor or the delivery date to the Buyer.

CONDITIONS OF COVERAGE

Lightking Outdoor and/or its Distributors will replace failed LED lamps, if greater than 1.0% of the total number of lamps in the sign have failed in any calendar year during the term of this Limited Parts Warranty, provided the sign is installed with the recommended ventilation for its location. Lamp failure occurs when the lamp will no longer emit light.  This agreement does not cover LED degradation, which occurs when the LEDs continue to emit light, but at some lesser level of brightness.  Lamp repair will be performed at the Lightking Outdoor and/or its Distributors facilities. The maintenance items listed below are the responsibility of the Buyer; failure to properly maintain equipment may, at Lightking Outdoor and/or its Distributors’ sole discretion, relieve Lightking Outdoor and/or its Distributors of its responsibilities under this Limited Parts Warranty. Throughout the term of this Limited Parts Warranty, Buyer shall maintain safe site conditions around the LED sign. Buyer is responsible for routine equipment, electronic hardware and software operations and maintenance such as content creation and management. Buyer is responsible for management of Buyer-owned spare parts inventory. Buyer is responsible for costs of any on-site labor to diagnose and/or replace failed electronic or other LED sign components or signage structures.

 

SPARE PARTS STORAGE

During the term of this Limited Parts Warranty, Lightking Outdoor and/or its Distributors will store spare parts of each of the electronic sign components purchased by Buyer and covered in this Limited Parts Warranty at its facilities to expedite repair or replacement of equipment.

RETURN ITEMS

All items returned to Lightking Outdoor and/or its Distributors must be safely packaged and shipped to avoid damage to equipment under warranty. When returning equipment to Lightking Outdoor and/or its Distributors for repair or replacement, Buyer assumes all risk of loss or damage.

 

 

 

 

EXCLUSIONS

Damages caused by any item listed in the force majeure section of this Limited Parts Warranty or Buyer operating errors are not covered by this Limited Parts Warranty. This Limited Parts Warranty is conditioned upon prior receipt of all payments due under Invoice and/or Purchase Agreement for the LED sign. This Limited Parts Warranty does not cover defects or failure resulting from the use of replacement parts not supplied by Lightking Outdoor and/or its Distributors. The equipment may require additional maintenance caused by issues other than normal wear and tear. Such causes may include, but are not limited to: power surges or improper voltage supplied to LED sign, abuse of equipment, damage caused by improper repair or modification of the equipment, failures caused by environmental factors beyond Lightking Outdoor and/or its Distributors’ control such as environmental pollutants, damage from insects or animals, acts of God or nature, terrorism, vandalism, or war.  This Limited Parts Warranty does not include paint or refinishing the equipment or furnishing material for this purpose, electrical work external to the equipment such as electrical circuits, electrical panels or surge protectors, or service of accessories, attachments, or other devices not furnished by Lightking Outdoor and/or its Distributors. This Limited Parts Warranty does not include the provision of replacement of Power supplies and communication devices, such as, but not limited to: modems, wireless RF/radio systems, 485 signal convertors, transmitters, receivers and Ethernet devices, these devices are covered by their Manufacturer’s Warranty and are not covered under the Lightking Outdoor Warranty.  Certain failures may result in a required total replacement and/or upgrade of any or all of the components in the LED sign.  In the event of a failure, the component will be checked thoroughly and if the component can be repaired or replaced, the costs of the repair or the replacement part are included in this Limited Parts Warranty.   If the component cannot be repaired or replaced for any reason, and an upgrade is required, then the Buyer shall be responsible for the difference in cost between the upgraded component and the cost of the repaired or replaced component to the extent the cost of the upgraded component exceeds the cost of the repaired or replaced component.  Lightking Outdoor and/or its Distributors shall be under no obligation to continue to honor this Limited Parts Warranty if the equipment is moved from its location of initial installation or reinstalled without the prior written approval of Lightking Outdoor and/or its Distributors, unless the displays were designed by Lightking Outdoor and/or its Distributors to be mobile.

 

LIMITATION OF LIABILITY

Buyer agrees that in no event shall the liability of Lightking Outdoor and/or its Distributors exceed the amount of the purchase price. It is agreed that in no event shall Lightking Outdoor and/or its Distributors be liable for incidental, consequential or indirect damages, regardless of cause.  Buyer understands and agrees that the prices for its LED sign would be higher in the absence of this liability limitation.  No action against Lightking Outdoor and/or its Distributors shall be commenced more than one year after the cause of action. Lightking Outdoor and/or its Distributors shall have no liability with respect to claims arising from use of third-party products and services.

 

FORCE MAJEURE

Lightking Outdoor and/or its Distributors shall be excused from any liability under this Limited Parts Warranty for any equipment failure caused by circumstances which are beyond the reasonable control of the Lightking Outdoor and/or its Distributors, including without limitation acts of God, natural disaster, labor or material shortages, war, earthquakes, wind storms, acts of terrorism, etc.

 

MISCELLANEOUS

This Limited Parts Warranty shall be governed by the laws of the state of Florida. The parties consent to the jurisdiction and venue of the courts of Miami-Dade County Florida for any action, suit or proceeding.  The Buyer and Lightking Outdoor and/or its Distributors are not partners.
